Terms and Conditions

1. Subject to the terms and conditions herein, we agree to continue to observe and be bound by all terms and conditions we have previously agreed with Tradelink Electronic Commerce Limited ("Tradelink").
2. We hereby request and authorize Tradelink to submit the applicable ID Cert application forms duly completed and signed by our nominated message signatories listed in Part I as relevant in this Message Signatories Authorization Form ("Authorization Form") together with all the relevant documents we submitted herewith for and on their behalf to Digi-Sign Certification Services Limited ("Digi-Sign") as agent for Tradelink for the production of a Security Device (Personal ID-Cert) to each of the message signatories.
3. We hereby expressly authorize Digi-Sign and Tradelink to disclose the personal data of us and each of our message signatories kept by them to each other for the issuance of the Security Device and provision of the Tradelink Services to us.
4. Save and except those ceased to be authorized by us from the Deletion Effective Date as indicated under Part 2 of the Authorization Form, we hereby authorize each message signatories to severally use and/or submit information on our behalf through those Tradelink Services specified against each of them in “Service(s) authorized for the message signatories” of this Authorization Form. The authorizations specified in Part 1 of the Authorization Form against any message signatory supersede all previously authorization granted to him in respect of the Tradelink Service appeared in Part 1 of the Authorization Form.
5. If a message signatory authorized in Clause 4 above is holding or has applied for only one Personal ID-Cert, the message signatory is authorized to use that Personal ID-Cert and any renewal or replacement thereof for authentication of all information submitted through those types of Tradelink Services which the message signatory is nominated to use for and on our behalf. In that event, Tradelink shall notify us the particulars of that Personal ID-Cert so authorized upon issuance, renewal or replacement thereof which notifications shall be conclusive evidence of our authorization herein. If a message signatory authorized in Clause 4 above is at any time holding or has applied for more than one Personal ID-Cert, we shall notify Tradelink which particular Personal ID-Cert (or ID-Certs) is authorized to be used by that particular message signatory for authenticating information submitted through each specific Tradelink Services which this particular message signatory is authorized to do so on our behalf. Unless and until Tradelink receives our notice to the contrary, all our previous authorization in respect of a Personal ID-Cert pursuant to this Clause shall continue to have full force and effect. We hereby acknowledge Tradelink’s absolute right to refuse acceptance in any Tradelink Services of any Personal ID-Cert which Tradelink considers not duly authorized to be used pursuant to this Clause.
6. Each message signatory, authorized under Clause 4 above, is authorized to use the "iAM Smart+" specified for him for authentication of all information submitted through those type of Tradelink Services which the message signatory is nominated to use for and on our behalf. Unless and until Tradelink receives our notice to the contrary, all our previous authorization in respect of an "iAM Smart+" pursuant to this Clause shall continue to have full force and effect. We hereby acknowledge Tradelink’s right to refuse acceptance in any Tradelink Services of any "iAM Smart+" which Tradelink consider not duly authorized to be used pursuant to this Clause.
7. We agree to be bound by all actions of our existing message signatories (save and except those ceased to be authorized with effective from the Deletion Effective Date as indicated under Part 2 of the Authorization Form) of and incidental to using Tradelink Services on our behalf through their respective Security Devices (Personal ID-Cert) as specified in Clause 5 above and through their respective Security Devices ("iAM Smart+") as specified in Clause 6 above. We shall be fully responsible for all information submitted by the message signatories through Tradelink Services and authenticated by their respective Security Devices (Personal ID-Cert) as specified in Clause 5 above, and through their respective Security Devices ("iAM Smart+") as specified in Clause 6 above, and all liabilities (civil and criminal) arising therefrom.
8. We understand that the Security Device (Personal ID-Cert and "iAM Smart+") is issued to the message signatory personally, will be at his own control and disposal and will not be revoked when the message signatory left my company or otherwise ceased to be authorized by us. We undertake to promptly notify Tradelink in writing should any message signatory left my company or otherwise ceased to be authorized by us. Unless and until such written notice is actually received by Tradelink, we shall still be bound by clauses 4, 5, 6 and 7 above in respect of the message signatory.
9. We hereby authorize you to notify any of the Message Signatories (or former Message Signatories) of the details of the authorization or change specified in this form. We acknowledge that each Message Signatory shall have the right to at any time withdraw his consent to act as our Message Signatory. We understand that their respective Security Devices (Personal ID-Cert and "iAM Smart+") will cease to be accepted for Tradelink Services after Tradelink’s receipt and validation of such notification from the Message Signatories.
10. If no effective date is specified, cessation of authorization will be effective 2 working days after Tradelink’s receipt of this form (duly completed and signed by the Subscriber). We understand that the respective Security Devices (Personal ID-Cert and "iAM Smart+") of the Message Signatories may cease to be accepted for Tradelink Services anytime after 2 working days from Tradelink’s receipt of the duly completed and signed form. The authorizations shall remain effective until the cessation requested becomes effective. We shall be fully responsible for and hold Tradelink harmless for any wrongful use of the Tradelink Services by the Message Signatories before the cessation requested becomes effective.
11. All instructions, arrangements and transactions are subject to and governed by the Terms and Conditions. Copies of such Terms and Conditions are available from www.tradelink-ebiz.com/pdf/tnc.pdf. Your retention and/or continuance of use of the Account constitute your agreement and acceptance of the Terms and Conditions.
